Welcome to Redwood Digital Frederick. These Terms of Service ("Terms") govern your use of our website, services, and software products. By accessing or using any services provided by Redwood Digital Frederick LLC ("we," "us," or "our"), you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Services

Redwood Digital Frederick LLC provides the following services and products:

• Web Design & Development: Custom web applications, business tools, landing pages, and digital solutions for local businesses.
• Digital Marketing & SEO: Search engine optimization, digital marketing strategy, and online presence management.
• Software Products: Including but not limited to VoiceForge (a voice-to-text productivity tool available at usevoiceforge.com) and Menoach (an AI life coaching platform).

2. Acceptance of Terms

By engaging our services, placing an order, creating an account for any of our software products, or otherwise using our website, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. These Terms constitute a legally binding agreement between you and Redwood Digital Frederick LLC.

3. Payment Terms

Payment terms vary by service type:

• Web Design Projects: A 50% deposit is required before work begins. The remaining balance is due upon project completion and before final delivery of files and deployment. All prices are quoted in US dollars.
• Software Subscriptions: Subscription fees for products like VoiceForge are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. You authorize us to charge your payment method on file for each billing cycle.
• One-Time Purchases: Lifetime licenses and one-time purchases are charged at the time of purchase through Stripe.

All payments are processed securely through Stripe. We do not store your full credit card information on our servers. Late payments on web design projects may result in a pause of work until the outstanding balance is resolved.

4. Intellectual Property

Client Work: Upon full payment, you own the final deliverables (website code, designs, and content) created specifically for your project. We retain the right to showcase the work in our portfolio unless otherwise agreed in writing.

Software Products: All intellectual property rights in our software products (VoiceForge, Menoach, and others) remain the exclusive property of Redwood Digital Frederick LLC. Your purchase or subscription grants you a limited, non-exclusive, non-transferable license to use the software for its intended purpose.

Third-Party Assets: Some projects may incorporate third-party libraries, fonts, or assets subject to their own license terms. We will inform you of any such dependencies.

5. Client Responsibilities

For web design and development projects, you agree to:

• Provide necessary content, assets, and feedback in a timely manner.
• Review deliverables and provide feedback within 7 business days of each milestone.
• Ensure that all content you provide does not infringe on third-party intellectual property rights.

6. Limitation of Liability

To the maximum extent permitted by law, Redwood Digital Frederick LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or software products.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us for the specific service or product giving rise to the claim in the twelve (12) months preceding the claim.

7. Warranties & Disclaimers

Web design services include a 30-day post-launch support period during which we will fix bugs and issues at no additional charge. Beyond this period, maintenance and updates may be arranged under a separate agreement.

Software products are provided "as is" and "as available." While we strive to maintain reliable, bug-free software, we do not guarantee uninterrupted or error-free operation.

8. Termination

By You: You may cancel a web design project at any time by providing written notice. Refund terms are governed by our Refund Policy. Software subscriptions can be cancelled at any time through your account settings or by contacting us.

By Us: We reserve the right to terminate or suspend your access to our services or software products at any time if you violate these Terms, engage in fraudulent activity, or fail to make required payments. We will provide reasonable notice when possible.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Frederick County, Maryland.

10. Amendments

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active clients and subscribers via email.
